1. Acceptance of Terms
By accessing or using the website located at www.Alleccollective.com (the "Site"), submitting an inquiry or application, booking a session, or engaging Allec Collective or any of its divisions for services, you ("Client," "you," or "your") agree to be bound by these Terms and our Privacy Policy and Cancellation & Rescheduling Policy, each incorporated here by reference. If you do not agree, do not use the Site or engage our Services.
If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you individually and the organization.
2. Who We Are
"Allec Collective," "we," "us," or "our" refers to Allec Collective, a Texas [Insert Entity Type, e.g., limited liability company] with a principal place of business at 3840 S Dairy Ashford Rd, Unit #1087, Houston, TX 77082. Allec Collective operates four service divisions under one parent brand: Allec Co. Coaching, Allec Co. Consulting, Allec Co. Creative, and Allec Co. Services. Each division is described further below.
3. Eligibility
- You must be at least 18 years old to engage any Allec Collective service or submit payment.
- You must provide accurate, current, and complete information when submitting any form, application, or booking.
- Organizations engaging Allec Co. Consulting, Allec Co. Creative, or Allec Co. Services must have authority to enter into a binding agreement.
4. Description of Services
Allec Collective provides four categories of services, each with a distinct scope described in Sections 5–8. Nothing in these Terms should be read to blend the scope of one division into another. A client engaging Allec Co. Coaching is not thereby receiving consulting, creative production, or notary services, and vice versa.
5. Coaching Services (Allec Co. Coaching)
Allec Co. Coaching provides life, purpose, and leadership coaching, including an Initial Coaching Session and longer-form coaching packages (e.g., GO FORWARD, FLOURISH), as described on the Coaching page.
- Not a regulated or clinical service. Coaching is educational and developmental. It is not psychotherapy, professional counseling, psychological treatment, medical care, or crisis intervention, and it does not diagnose, treat, cure, or prevent any mental health condition.
- No outcome guarantees. Coaching outcomes depend on many factors outside our control, including your own effort and circumstances. We do not guarantee specific results.
- Client responsibility. You are solely responsible for the decisions you make during and after coaching, including financial, professional, relational, and personal decisions.
- Scope of packages. Coaching packages include a defined number of sessions over a defined period, as described at the time of booking. Sessions not used within the applicable period may expire, subject to the Cancellation & Rescheduling Policy.
6. Consulting Services (Allec Co. Consulting)
Allec Co. Consulting provides strategic, organizational, and program-development advisory services, including an Initial Consulting Session and larger scoped engagements agreed to separately in writing (a "Statement of Work" or "SOW").
- Advisory in nature. Consulting provides recommendations, strategic input, and, where separately agreed, implementation support. We are not responsible for a client's decision to implement, modify, or disregard any recommendation.
- Not legal, accounting, or tax advice. Consulting does not constitute legal, accounting, tax, or other regulated professional advice. Clients requiring such advice should engage an appropriately licensed professional.
- Larger engagements. Any consulting engagement beyond the Initial Consulting Session (e.g., multi-week or multi-month projects) will be governed by a separate written SOW specifying scope, deliverables, fees, and timeline. If a conflict exists between an SOW and these Terms, the SOW controls for that engagement.
- No outcome or results guarantee, including with respect to funding, growth, launch success, or organizational performance.
7. Creative Production Services (Allec Co. Creative)
Allec Co. Creative provides experiential and media production services, including but not limited to event and experience design, live production, film and content production, and creative direction.
- Project-based and scope-governed. Every Creative engagement is scoped individually. Pricing, deliverables, timeline, revisions, and usage rights will be set out in a project proposal, quote, or agreement ("Project Agreement") provided before work begins. These Terms apply in addition to, and do not replace, a signed Project Agreement.
- Deposits. Creative projects typically require a non-refundable deposit to reserve production dates, crew, and vendors, as specified in the Project Agreement. See the Cancellation & Rescheduling Policy for details.
- Third-party vendors. Productions may involve third-party vendors (venues, caterers, crew, talent, equipment rental). Allec Co. Creative will coordinate such vendors as part of production management, but is not liable for a third-party vendor's independent acts, omissions, delays, or failures, except to the extent caused by our negligence in selecting or directing them.
- Deliverable ownership and licensing. Unless otherwise stated in a Project Agreement, upon full payment, the client receives a license to use final delivered creative assets for the purposes described in the Project Agreement. Allec Co. Creative retains ownership of raw footage, working files, pre-production materials, and any proprietary process, template, or methodology (including the Encounter Method), and may use final project imagery and edited highlights for its own portfolio, marketing, and case studies unless the client requests otherwise in writing and such a request is agreed to in the Project Agreement.
- Change orders. Material changes to scope, timeline, or deliverables after a Project Agreement is signed may result in additional fees, communicated before the change is implemented where practicable.
8. Support Services, Including Notary (Allec Co. Services)
Allec Co. Services provides administrative, operational, and project-support services on an hourly, project-based, or retainer basis, as agreed at the time of booking.
- Scope of support. Support Services are limited to the tasks agreed upon at booking or in a retainer agreement. Allec Co. Services does not provide legal, accounting, tax, medical, or other regulated professional advice.
- Retainers. Monthly retainer arrangements renew automatically each billing cycle unless cancelled in accordance with the Cancellation & Rescheduling Policy. Unused retainer hours generally do not roll over unless otherwise agreed in writing.
Notary Services
Where Allec Co. Services offers notary public services, the following additional terms apply:
- Notarization is performed by a duly commissioned notary public in accordance with the laws of the State of Texas. Notary fees may be charged separately from, and in addition to, any travel or convenience fee, and are subject to any statutory fee caps in the applicable jurisdiction.
- All signers must appear with valid, government-issued photo identification and must sign willingly and knowingly, without duress. The notary may decline to notarize a document if the signer's identity cannot be verified, the signer does not appear to understand the document, the signer appears to be acting under duress, or the document is incomplete (e.g., contains blank spaces).
- The notary performs a ministerial act — verifying identity, willingness, and the notarial act performed — and does not review, draft, or provide any opinion on the legal effect, validity, or sufficiency of the document being notarized. Notary services do not constitute legal advice.
- Notary appointments are booked and cancelled separately from other Allec Co. Services requests. See the Cancellation & Rescheduling Policy for notary-specific cancellation and missed-appointment terms.
9. Fees, Payment & Invoicing
- Fees for each service are as posted on the applicable page at the time of booking, or as set out in a Project Agreement or SOW for scoped engagements.
- Payment is due at the time specified at booking. For package or retainer arrangements, full payment or an approved installment plan must be current before scheduling continues.
- Payments are processed through a third-party payment processor. We do not store full payment card numbers on our systems. See the Privacy Policy for details.
- All fees are quoted in U.S. dollars unless otherwise stated and are exclusive of any applicable taxes, which are the client's responsibility unless otherwise specified.
- Late or failed payments may result in paused services, paused scheduling, or suspension of an engagement until payment is resolved.
10. Cancellations, Rescheduling & Refunds
Cancellation notice periods, rescheduling limits, missed-appointment terms, deposit forfeiture, and refund eligibility for each division are set out in full in our Cancellation & Rescheduling Policy, which is incorporated into these Terms by reference. By booking any service, you agree to that policy.
11. Intellectual Property
- Our IP. The Site, its design, text, graphics, logos, and all Allec Collective proprietary frameworks and methodologies — including but not limited to the FLOURISH Method and the Encounter Method — are owned by or licensed to Allec Collective and are protected by intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from our proprietary frameworks or Site content without our prior written consent.
- Your IP. You retain ownership of any pre-existing material, brand assets, or content you provide to us in connection with a project. You grant us a limited license to use such material solely to perform the engaged Services.
- Testimonials & case studies. With your separate consent, we may reference your name, organization, or project as a testimonial, case study, or portfolio piece. You may withdraw this consent prospectively at any time by written notice.
12. Confidentiality
Each party agrees to keep confidential any non-public business, personal, or strategic information disclosed by the other party in connection with the Services, and to use such information only for the purpose of performing or receiving the Services, except where disclosure is required by law. This obligation survives the end of an engagement. Coaching-specific confidentiality is further addressed in the Coaching Disclaimer language referenced on the Coaching page and in the FAQ.
13. Acceptable Use of the Website
You agree not to: (a) use the Site for any unlawful purpose; (b) attempt to gain unauthorized access to any part of the Site or its underlying systems; (c) interfere with the Site's operation, including through malware, scraping, or excessive automated requests; or (d) submit false, misleading, or fraudulent information through any form on the Site.
14. Third-Party Links & Services
The Site may link to or integrate third-party services (e.g., scheduling tools, payment processors, social media). We do not control and are not responsible for the content, policies, or practices of third-party services. Your use of those services is governed by their own terms.
15. Disclaimers
THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY SERVICE WILL ACHIEVE ANY PARTICULAR RESULT.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALLEC COLLECTIVE AND ITS OWNERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SITE OR ANY SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICES WILL NOT EXCEED THE TOTAL FEES PAID BY YOU FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE SIX (6) MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
17. Indemnification
You agree to indemnify and hold harmless Allec Collective and its owners, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your misuse of the Services, or content or information you provide to us.
18. Dispute Resolution & Governing Law
- These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles.
- Before initiating a formal claim, the parties agree to attempt in good faith to resolve any dispute through direct negotiation for at least thirty (30) days.
- [Optional — confirm with counsel: Any dispute not resolved informally will be resolved by binding arbitration administered by [Insert Arbitration Body, e.g., the American Arbitration Association] under its rules then in effect, seated in Harris County, Texas, rather than in court, except that either party may bring an individual claim in small claims court.]
- Any judicial proceeding permitted under these Terms will be brought exclusively in the state or federal courts located in Harris County, Texas, and you consent to the personal jurisdiction of those courts.
19. Force Majeure
Neither party will be liable for delay or failure to perform due to causes beyond its reasonable control, including natural disasters, extreme weather, acts of government, labor disputes, venue or vendor unavailability due to circumstances outside our control, illness, or other events of force majeure. Affected obligations will be suspended for the duration of the event, and the parties will work in good faith to reschedule.
20. Term & Termination
These Terms remain in effect for as long as you use the Site or engage any Service. We may suspend or terminate your access to the Site or any Service, with or without notice, for conduct that violates these Terms or that we reasonably believe is harmful to other users, us, or third parties. Either party may terminate an ongoing coaching, consulting, or retainer relationship as described in the Cancellation & Rescheduling Policy. Sections that by their nature should survive termination (including Intellectual Property, Confidentiality, Disclaimers, Limitation of Liability, and Dispute Resolution) will survive.
21. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Material changes will be posted on this page; continued use of the Site or Services after changes take effect constitutes acceptance of the revised Terms.
22. General Provisions
- Entire agreement. These Terms, together with the Privacy Policy, Cancellation & Rescheduling Policy, and any applicable Project Agreement or SOW, constitute the entire agreement between you and Allec Collective regarding the Services.
- Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
- No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
